These Terms & Conditions (the “Agreement”) govern your (“Client,” “you,” or “your”) use of and access to all services, products, and content provided by Dareshore.com Al Dareshor LLC (the “Company,” “we,” “us,” or “our”), including but not limited to the website Dareshore.com (the “Website”) and any other related platforms.

By enrolling in any of our services or purchasing our programs, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not accept these Terms & Conditions, you must not use or access our Services or Website.

1. DEFINITIONS

1.1 “Services”

Refers to all offerings provided by the Company, including but not limited to:

• Business Credit & Funding System

• Credit Optimization (i.e., credit repair steps and related strategies)

• Debt Settlement Assistance

• Do-It-Yourself (DIY) Courses and Materials

• Done-For-You (DFY) Packages

• Consulting, training, coaching sessions, and any other related services or products

1.2 “Client” or “You”

Refers to any individual or entity enrolling in, purchasing, or utilizing our Services.

1.3 “Company” or “We/Us”

Means Dareshore.com Al Dareshor LLC and any affiliated entities, employees, contractors, or agents.

1.4 “Website”

Means Dareshore.com and any subdomains or other websites operated by the Company.

1.5 “Agreement”

Means these Terms & Conditions, together with any invoice, proposal, addendum, or schedule referencing this Agreement.

2. ACCEPTANCE & SCOPE OF SERVICES

2.1 Acceptance of Terms

By accessing or using our Website or Services—or by electronically agreeing (e.g., clicking “I agree” or checking a box)—you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2.2 Scope

• The Company’s primary offering is a Business Funding & Credit Setup System designed to help you establish or improve your business credit profile and secure funding.

• Credit optimization (“credit repair”) is only one component of the overall system and is not sold as a standalone service.

• The Company also offers DIY and Done-For-You options for business credit building, potential debt settlement support, and other related services as described in Section 1.1.

2.3 No Legal or Financial Advice

The Company and its representatives are not attorneys, CPAs, or financial advisors. Any information or guidance provided is for educational purposes only and should not be interpreted as legal, tax, or financial advice. You are encouraged to consult qualified professionals regarding your specific needs.

3. DISCLAIMERS & NO GUARANTEE OF RESULTS

3.1 No Guarantee of Specific Outcomes

While our Services are designed to improve your likelihood of obtaining business funding and optimizing your credit profile, we cannot guarantee any specific results, credit score increases, or funding amounts. Results vary based on numerous factors, including but not limited to your compliance with recommended actions, your credit history, and market conditions.

3.2 Client Responsibility

You agree that you are fully responsible for your own decisions, strategies, and use of our Services. You understand that consistent effort and adherence to our instructions are critical to achieving favorable results.

3.3 Educational Purposes Only

All materials, content, and advice provided by the Company are offered solely for educational purposes and do not replace professional, legal, or financial counsel.

4. PAYMENT TERMS & INVOICING

4.1 Invoicing & Pricing

• The Company does not list specific prices in this Agreement. Any fees for our Services will be detailed in an invoice or proposal provided to you separately.

• By agreeing to pay the invoice, you accept the pricing, payment schedule, and any terms described therein.

4.2 Payment Methods

• Accepted payment methods may include credit/debit cards, PayPal, bank transfers, or other forms specified in the invoice.

• The Company reserves the right to update accepted forms of payment at any time.

4.3 No Upfront Fee for Credit Optimization Alone

In compliance with applicable laws (such as the Credit Repair Organizations Act and the Telemarketing Sales Rule), the Company does not charge an upfront fee solely for credit optimization. Any fees associated with credit optimization are included as part of a comprehensive business-funding package.

4.4 Late Payments & Collection

• If you fail to make a payment when due, the Company may suspend or terminate your access to the Services until your account is brought current.

• You agree to pay any reasonable attorney’s fees, court costs, or collection agency fees incurred by the Company in its efforts to collect outstanding balances.

5. REFUND & MONEY-BACK GUARANTEE

5.1 Money-Back Guarantee

If a money-back guarantee is offered (e.g., a 30-day guarantee), the specific terms and eligibility criteria will be detailed in your invoice or separate program documentation. To request a refund, you must notify the Company in writing within the specified guarantee period and follow any required steps (such as demonstrating you have completed certain course modules or taken specific actions).

5.2 No Other Refunds

Except as expressly stated in the invoice or guarantee documentation, all sales are final, and no refunds will be provided. Partial refunds are offered at the Company’s sole discretion and only under special circumstances.

5.3 Dispute Resolution First

You agree to contact the Company at (949) 368-5224 or support@dareshore.com to attempt a good-faith resolution prior to initiating any chargebacks or external disputes.

6. INTELLECTUAL PROPERTY RIGHTS & COMPETITOR NON-INTERFERENCE

6.1 Ownership

All content, training materials, documents, methodologies, trademarks, logos, and other intellectual property (“IP”) provided through our Services or on our Website (collectively, “Company IP”) are owned exclusively by the Company or its licensors.

6.2 Prohibited Use & Enforcement

• You agree not to reproduce, distribute, create derivative works from, or resell any portion of the Company IP without explicit written permission from the Company.

• Unauthorized sharing or distribution of our digital materials (e.g., videos, PDFs, course logins) is strictly prohibited and will subject the infringer to immediate legal action, including but not limited to claims for damages, injunctive relief, and attorneys’ fees.

6.3 Competitor Acknowledgment

• If you are a competitor (or affiliated with a competitor) of the Company, you must not access, download, copy, or otherwise use any part of the Company IP for any commercial or competitive purpose.

• Any attempt by a competitor to copy, reverse-engineer, or unlawfully appropriate our proprietary strategies, processes, or materials will result in immediate legal proceedings, which may include injunctive relief, monetary damages (including punitive damages), and any other remedy allowed by law.

6.4 Aggressive Enforcement Notice

• The Company vigorously enforces its IP rights. We will pursue all civil and criminal remedies available under applicable laws to protect our IP from unauthorized use or infringement.

• This includes filing DMCA takedown notices, notifying payment processors, and reporting infringements to regulatory bodies if needed.

• Competitor Notice — Zero Tolerance for IP Theft & Retaliation:

• We monitor unauthorized usage, publication, and sharing of our proprietary content or marketing materials. If any competitor or affiliated entity is found to have stolen or plagiarized our content, processes, or marketing strategies, we will promptly take legal action.

• Such legal action may include filing a lawsuit in state or federal court seeking compensatory damages, punitive damages, an injunction, and the recovery of attorneys’ fees and costs.

• We also reserve the right to file complaints with regulatory bodies (FTC, CFPB, etc.) and report to payment processors or web hosting providers, leading to the potential suspension or termination of the infringing party’s services.

• Any competitor or entity who attempts to defame, harass, or retaliate against the Company—including through negative SEO tactics, fraudulent reviews, or false reporting—will be met with an aggressive legal and regulatory response to the fullest extent permitted by law.

7. NON-DISPARAGEMENT & COMMUNICATIONS

7.1 Non-Disparagement

• You agree not to publicly post, publish, or communicate any knowingly false, misleading, or disparaging remarks, comments, or statements about the Company, its Services, or its employees/contractors before first contacting the Company in good faith to address any concerns.

• Nothing in this section shall be construed to limit your right to express factually accurate information about your personal experience; however, baseless or malicious defamation will subject you to potential legal claims for damages.

7.2 Mutual Respect

The Company commits to addressing any concerns or disputes promptly and professionally. We expect the same level of respect from you in communications, whether via phone, email, social media, or other channels.

7.3 Retaliatory Actions by Competitors

• The Company reserves the right to file formal complaints with the Federal Trade Commission (FTC), Consumer Financial Protection Bureau (CFPB), state Attorneys General, or any other relevant authority if competitors or affiliated parties engage in harassment, defamation, or retaliatory practices against the Company.

• Any attempts to undermine or interfere with the Company’s marketing, reputation, or client relationships will be met with legal and regulatory action to the fullest extent permitted by law.

8. WEBSITE USE & CONTENT PROTECTION

8.1 License to Use Website

You are granted a limited, revocable, non-exclusive license to access and use the Website for personal, non-commercial purposes related to our Services.

8.2 Prohibited Activities

You may not engage in data mining, scraping, framing, or other unauthorized collection of information from the Website. You may not attempt to bypass or compromise any Website security features.

8.3 Termination of Access

The Company reserves the right to terminate or restrict your access to the Website or any portion thereof for any violation of these Terms & Conditions.

9. PRIVACY & DATA COLLECTION

9.1 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is available on the Website. By agreeing to these Terms, you also consent to the practices described in our Privacy Policy.

9.2 Sensitive Information

10. COMPLIANCE WITH FEDERAL & STATE LAWS

10.2 No Unlawful or Prohibited Use

You agree not to use our Services for any unlawful purpose or in violation of any local, state, national, or international law or regulation.

11. LIMITATION OF LIABILITY

11.1 As-Is Basis

All Services are provided on an “as-is” and “as-available” basis. The Company makes no warranties or representations of any kind, express or implied, regarding the accuracy, completeness, or suitability of the Services for any particular purpose.

11.2 Exclusion of Damages

To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, or special damages, including lost profits, even if advised of the possibility of such damages.

11.3 Maximum Liability

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company and its affiliates, employees, agents, and contractors from any and all claims, damages, or liabilities (including reasonable attorney’s fees) arising out of:

1. Your misuse of the Services or Website,

2. Your breach of this Agreement,

3. Your violation of any law or the rights of a third party,

4. Any inaccurate or untruthful information provided by you.

13. FORCE MAJEURE

13.1 No Liability for Force Majeure Events

The Company shall not be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure results from acts beyond its reasonable control, including but not limited to natural disasters, internet outages, government regulations, or other unforeseeable events.

14. DISPUTE RESOLUTION & GOVERNING LAW

14.1 Governing Law

This Agreement and any disputes arising from it shall be governed by and construed in accordance with the laws of the State of [State Name], without regard to its conflict of law provisions.

14.2 Arbitration

3. Engage in illegal or fraudulent activity,

4. Misappropriate, infringe upon, or attempt to copy the Company IP or Services for competitive advantage.

15.2 No Refunds

If this Agreement is terminated due to your breach or violation of terms, no refunds will be issued.

16. ENTIRE AGREEMENT & MODIFICATIONS

16.1 Entire Agreement

This Agreement, along with any invoice, proposal, or addendum referencing it, constitutes the entire agreement between you and the Company, superseding all prior understandings or communications.

16.2 Modifications

The Company reserves the right to update or modify this Agreement at any time by posting the revised version on the Website and providing notice (e.g., via email). Your continued use of the Services after such modifications constitutes acceptance of the revised Agreement.

17. SEVERABILITY

17.1 Partial Invalidity

If any term or provision of this Agreement is found invalid or unenforceable by an arbitrator or court of competent jurisdiction, the remaining terms and provisions shall remain in full force and effect.

18. ELECTRONIC SIGNATURE & CONSENT

18.1 Binding Consent

By clicking “I agree,” checking a box, or otherwise indicating your acceptance electronically, you are legally consenting to the terms of this Agreement and agree that such action constitutes your electronic signature, which is the legal equivalent of your handwritten signature.

19. ADDITIONAL PROTECTIVE CLAUSES

19.1 No Solicitation of Employees/Contractors

You agree not to solicit for employment, consulting, or other engagements any employee or contractor of the Company without prior written consent, for the duration of your engagement with the Company and for a period of 12 months thereafter.

19.2 No Circumvention

You shall not attempt to bypass or circumvent any aspect of our Services or compensation arrangements, including direct negotiations with the Company’s partners, vendors, or affiliates when introduced through our Services.

19.3 Survival

All provisions that logically ought to survive termination of this Agreement, including but not limited to Disclaimers, Limitation of Liability, Indemnification, and Intellectual Property Rights, shall survive.

19.4 Competitor Notice — Zero Tolerance for IP Theft & Retaliation

• Aggressive Enforcement: We monitor unauthorized usage, publication, and sharing of our proprietary content or marketing materials. If any competitor or affiliated entity is found to have stolen or plagiarized our content, processes, or marketing strategies, we will promptly take legal action.

• Legal Remedies: Such legal action may include filing a lawsuit in state or federal court seeking compensatory damages, punitive damages, an injunction, and the recovery of attorneys’ fees and costs.

• Regulatory Complaints: We also reserve the right to file complaints with regulatory bodies (FTC, CFPB, etc.) and report to payment processors or web hosting providers, which may result in the suspension or termination of the infringing party’s services.

• Defamation & Retaliation: Any competitor or entity who attempts to defame, harass, or retaliate against the Company—including through negative SEO tactics, fraudulent reviews, or false reporting—will be met with an aggressive legal and regulatory response to the fullest extent permitted by law.

• بهینه‌سازی اعتبار (مراحل و راهکارهای مرتبط با «Credit Repair»)

• کمک در تسویهٔ بدهی

• دوره‌ها و منابع آموزشی «خودت انجام بده» (DIY)

• بسته‌های «ما انجام می‌دهیم» (DFY)

• مشاوره، آموزش، کوچینگ و هر سرویس یا محصول مرتبط دیگر

1.2 «مشتری» یا «شما»

به هر فرد یا نهادی اطلاق می‌شود که برای بهره‌مندی از خدمات ما ثبت‌نام یا آن‌ها را خریداری کرده و استفاده می‌کند.

1.3 «شرکت» یا «ما»

به Dareshore.com Al Dareshor LLC و هر نهاد وابسته، کارمند، پیمانکار یا نمایندهٔ آن گفته می‌شود.

1.4 «وب‌سایت»

به Dareshore.com و هر زیر‌دامنه یا وب‌سایت دیگری که توسط شرکت اداره می‌شود، اشاره دارد.

1.5 «توافق‌نامه»

2. پذیرش و دامنهٔ خدمات

2.1 پذیرش شرایط

با دسترسی یا استفاده از وب‌سایت یا خدمات ما—یا با موافقت الکترونیکی (مانند کلیک بر روی «موافقم» یا علامت زدن یک چک‌باکس)—تأیید می‌کنید که این توافق‌نامه را خوانده و درک کرده‌اید و با آن موافقت دارید.

2.2 دامنه

• پیشنهاد اصلی شرکت، سیستم ایجاد اعتبار تجاری و تأمین سرمایه است که هدف آن کمک به شما در ایجاد یا بهبود پروفایل اعتبار تجاری و دریافت منابع مالی است.

• «بهینه‌سازی اعتبار» (Credit Repair) صرفاً یکی از اجزای سیستم کلی بوده و به‌صورت مجزا فروخته نمی‌شود.

• شرکت همچنین خدمات DIY و DFY برای ساخت اعتبار تجاری، پشتیبانی بالقوه در تسویهٔ بدهی و دیگر خدمات مرتبط را مطابق بخش 1.1 ارائه می‌دهد.

2.3 بدون مشاورهٔ حقوقی یا مالی

شرکت و نمایندگان آن، وکیل، حسابدار رسمی یا مشاور مالی نیستند. هرگونه اطلاعات یا راهنمایی ارائه‌شده، صرفاً برای اهداف آموزشی است و نباید به‌عنوان مشاورهٔ حقوقی، مالیاتی یا مالی محسوب شود. توصیه می‌شود دربارهٔ نیازهای خاص خود با متخصصان صلاحیت‌دار مشورت کنید.

3. سلب مسئولیت و عدم تضمین نتایج

3.1 عدم تضمین نتایج مشخص

اگرچه هدف خدمات ما ارتقاء احتمال دریافت تأمین مالی کسب‌وکار و بهبود پروفایل اعتباری شماست، ما هیچ تضمینی دربارهٔ دستیابی به نتایج خاص، افزایش امتیاز اعتباری یا میزان وام نداریم. نتایج به عوامل گوناگون—از جمله پایبندی شما به راهکارها، سوابق اعتباری و شرایط بازار—بستگی دارد.

3.2 مسئولیت مشتری

شما می‌پذیرید که کاملاً مسئول تصمیمات، راهبردها و نحوهٔ استفاده از خدمات ما هستید. می‌دانید که تلاش مداوم و رعایت توصیه‌های ما برای کسب نتایج مطلوب حائز اهمیت است.

3.3 صرفاً اهداف آموزشی

تمام مطالب، محتوا و مشاوره‌هایی که شرکت ارائه می‌کند، صرفاً برای اهداف آموزشی بوده و جایگزین مشاورهٔ حرفه‌ای، حقوقی یا مالی نیست.

4. شرایط پرداخت و صدور فاکتور

4.1 صدور فاکتور و قیمت‌گذاری

• شرکت در این توافق‌نامه هیچ قیمت مشخصی را ذکر نکرده است. هرگونه هزینه برای خدمات ما در یک فاکتور یا پیشنهادنامه جداگانه قید می‌گردد.

• با موافقت برای پرداخت فاکتور، شما مبالغ، جدول پرداخت و هر شرط مندرج در آن را می‌پذیرید.

4.2 روش‌های پرداخت

• روش‌های پرداخت قابل‌قبول ممکن است شامل کارت اعتباری/دبیت، PayPal، انتقال بانکی یا سایر روش‌های درج‌شده در فاکتور باشد.

• شرکت حق دارد در هر زمان روش‌های پرداخت پذیرفته‌شده را تغییر دهد.

4.3 عدم دریافت هزینهٔ پیش‌پرداخت صرفاً برای بهینه‌سازی اعتبار

در تبعیت از قوانین مربوطه—از جمله Credit Repair Organizations Act (CROA) و Telemarketing Sales Rule (TSR)—شرکت هیچ مبلغی را صرفاً بابت «بهینه‌سازی اعتبار» به‌صورت پیش‌پرداخت دریافت نمی‌کند. این هزینه در قالب یک بستهٔ جامع تأمین مالی در نظر گرفته می‌شود.

4.4 تاخیر در پرداخت و وصول مطالبات

• اگر پرداخت در زمان مقرر صورت نگیرد، شرکت می‌تواند دسترسی شما به خدمات را تا زمان تسویهٔ کامل، تعلیق یا لغو نماید.

• شما موافقت می‌کنید هرگونه هزینهٔ معقول (شامل هزینه‌های وکیل، دادگاه یا آژانس وصول مطالبات) را که شرکت برای وصول مطالبات معوقه متقبل می‌شود، پرداخت کنید.

5. بازگشت وجه و تضمین عودت پول

5.1 تضمین عودت پول

اگر «تضمین عودت پول» ارائه شود (برای مثال ضمانت ۳۰ روزه)، جزئیات دقیق و معیارهای صلاحیت آن در فاکتور شما یا اسناد برنامه قید خواهد شد. برای درخواست عودت وجه، باید در مهلت تعیین‌شده و طبق مراحلی که قید شده (مثلاً اثبات تکمیل ماژول‌های خاص) اقدام کنید.

5.2 عدم عودت وجه دیگر

جز در مواردی که به‌طور صریح در فاکتور یا مدارک تضمین ذکر شده باشد، همهٔ فروش‌ها قطعی هستند و هیچ بازگشت وجهی صورت نمی‌گیرد. شرکت صرفاً در موارد خاص و به صلاحدید خود ممکن است بازگشت وجه جزئی را ارائه دهد.

5.3 حل اختلاف ابتدا

شما موافقت می‌کنید پیش از هرگونه اقدام به چارج‌بک یا اختلاف خارجی، ابتدا با شرکت از طریق تلفن (949) 368-5224 یا ایمیل support@dareshore.com تماس گرفته و در حسن نیت تلاش کنید مشکل را حل کنید.

6. حقوق مالکیت فکری و عدم دخالت رقبا

6.1 مالکیت

کلیهٔ محتوا، متون آموزشی، اسناد، روش‌ها، علائم تجاری، لوگوها و سایر حقوق مالکیت فکری («IP شرکت») که از طریق خدمات یا در وب‌سایت در دسترس است، به صورت انحصاری متعلق به شرکت یا واگذارشده به آن است.

6.2 ممنوعیت استفاده و اجرای حقوق

• شما موافقت می‌کنید بدون مجوز کتبی صریح از شرکت، هیچ بخشی از IP شرکت را تکثیر، توزیع، ایجاد آثار مشتق یا مجدداً نفروشید.

• هرگونه اشتراک‌گذاری یا توزیع غیرمجاز از مواد دیجیتال ما (مانند ویدیوها، فایل‌های PDF، دسترسی به دوره‌ها) اکیداً ممنوع بوده و می‌تواند موجب اقدام حقوقی فوری گردد، از جمله مطالبهٔ خسارت، صدور دستور قضایی و هزینه‌های وکیل.

6.3 تذکر به رقبا

• اگر شما رقیب (یا وابسته به رقیب) هستید، حق ندارید از محتوای IP شرکت برای مقاصد تجاری یا رقابتی استفاده کنید.

• هر تلاش رقیب برای کپی، مهندسی معکوس یا تصاحب غیرقانونی استراتژی‌ها، روش‌ها یا مواد اختصاصی ما منجر به اقدام حقوقی فوری خواهد شد؛ مانند صدور دستور موقت، خسارت مالی (از جمله خسارت تنبیهی) و هر راهکاری که قانون اجازه می‌دهد.

6.4 هشدار اجرای تهاجمی

• شرکت با جدیت از حقوق مالکیت فکری خود دفاع می‌کند. ما کلیهٔ راهکارهای مدنی و کیفری موجود تحت قوانین قابل‌اجرا را به کار خواهیم گرفت تا از IP خود در برابر استفاده یا نقض غیرمجاز محافظت کنیم.

• این شامل ارسال اخطار DMCA، اطلاع‌رسانی به پردازشگرهای پرداخت و گزارش تخلفات به نهادهای نظارتی در صورت نیاز می‌شود.

• اطلاعیه به رقبا — عدم تحمل سرقت IP و اقدام تلافی‌جویانه:

• ما بر استفاده، انتشار و اشتراک‌گذاری غیرمجاز محتوای اختصاصی یا مواد بازاریابی‌مان نظارت می‌کنیم. اگر رقیبی یا نهادی وابسته به او در سرقت یا کپی محتوای ما، فرایندها یا راهبردهای بازاریابی دخیل باشد، به‌سرعت اقدام حقوقی خواهیم کرد.

• این اقدام حقوقی می‌تواند شامل طرح شکایت در دادگاه ایالتی یا فدرال برای دریافت خسارات جبرانی، خسارات تنبیهی، دستور قضایی و جبران هزینه‌های وکیل باشد.

• ما همچنین حق داریم از طریق شکایت به نهادهای نظارتی (FTC، CFPB و غیره) یا گزارش به پردازشگرهای پرداخت و میزبان‌های وب، منجر به تعلیق یا پایان خدمات متخلف شویم.

• هر رقیب یا نهادی که تلاش کند شرکت را بدنام، آزار یا تلافی کند—از طریق تاکتیک‌های منفی سئو، نقدهای جعلی یا گزارش‌دهی دروغین—با واکنش شدید حقوقی و نظارتی روبرو خواهد شد، در حداکثر میزانی که قانون اجازه می‌دهد.

7. عدم بدگویی و ارتباطات

7.1 عدم بدگویی

• شما موافقت می‌کنید هیچ‌گونه اظهار عامدانه نادرست، گمراه‌کننده یا توهین‌آمیز علیه شرکت، خدمات یا کارکنان/پیمانکاران شرکت را، پیش از مطرح‌کردن مشکل با شرکت در حسن نیت، منتشر نکنید.

• هیچ یک از مفاد این بند به‌گونه‌ای تعبیر نمی‌شود که مانع بیان اطلاعات واقعاً صحیح در مورد تجربه شخصی شما باشد؛ اما افترا یا بدنام‌سازی مغرضانه ممکن است موجب پیگرد قانونی و مطالبهٔ خسارت شود.

7.2 احترام متقابل

شرکت تعهد می‌کند که هرگونه نگرانی یا اختلاف را به‌سرعت و با حرفه‌ای‌گری رسیدگی کند. ما نیز انتظار داریم شما در تمامی کانال‌های ارتباطی (تلفن، ایمیل، رسانه‌های اجتماعی و غیره) احترام متقابل را رعایت کنید.

7.3 اقدامات تلافی‌جویانه توسط رقبا

• شرکت حق دارد در صورت مزاحمت، افترا یا اقدامات تلافی‌جویانه رقبا یا وابستگان ایشان، نزد کمیسیون تجارت فدرال (FTC)، دفتر حفاظت مالی مصرف‌کننده (CFPB)، دادستان‌های ایالتی یا هر نهاد دیگر شکایت رسمی کند.

• هر تلاش برای خدشه واردکردن یا تضعیف بازاریابی، شهرت یا روابط مشتریان شرکت با اقدامات حقوقی و نظارتی جدی مواجه خواهد شد تا حداکثر محدودیتی که قانون اجازه می‌دهد.

8. استفاده از وب‌سایت و حفاظت از محتوا

8.1 مجوز استفاده از وب‌سایت

به شما یک مجوز محدود، قابل فسخ و غیرانحصاری داده می‌شود تا از وب‌سایت برای اهداف شخصی و غیرتجاری مرتبط با خدمات ما استفاده کنید.

8.2 فعالیت‌های ممنوعه

فعالیت‌هایی مانند داده‌کاوی، اسکرپینگ، فریم‌گذاری یا هر روش غیرمجاز جمع‌آوری اطلاعات از وب‌سایت ممنوع است. شما نباید تلاش کنید از سدهای امنیتی وب‌سایت عبور کنید یا آن‌ها را تضعیف نمایید.

8.3 قطع دسترسی

شرکت می‌تواند در صورت نقض این «شرایط و ضوابط»، دسترسی شما به وب‌سایت یا بخشی از آن را خاتمه دهد یا محدود کند.

9. حریم خصوصی و جمع‌آوری داده‌ها

9.1 سیاست حریم خصوصی

نحوهٔ جمع‌آوری، استفاده و انتشار اطلاعات شخصی ما تابع «سیاست حریم خصوصی» است که در وب‌سایت قابل دسترسی است. با موافقت با این شروط، شما نسبت به رویه‌های مندرج در سیاست حریم خصوصی ما رضایت می‌دهید.

9.2 اطلاعات حساس

اگر اطلاعات مالی یا شخصی حساسی را ارائه دهید، این کار را به‌صورت داوطلبانه انجام می‌دهید. شرکت برای محافظت از داده‌های شما در چارچوب قوانین و با تلاش متعارف تجاری اقدام خواهد کرد.

10. رعایت قوانین فدرال و ایالتی

10.1 قانون Credit Repair Organizations Act (CROA) و Telemarketing Sales Rule (TSR)

شرکت به‌طور کامل از قوانین مربوط به CROA، TSR و سایر مقررات حمایت از مصرف‌کننده پیروی می‌کند. خدمات ما بخشی از یک سیستم جامع تأمین مالی کسب‌وکار هستند و صرفاً محدود به «کردیت ریپر» نیستند.

10.2 عدم استفادهٔ غیرقانونی یا ممنوعه

شما موافقت می‌کنید از خدمات ما برای هیچ هدف غیرقانونی یا مغایر با قوانین و مقررات محلی، ایالتی، ملی یا بین‌المللی استفاده نکنید.

11. محدودیت مسئولیت

11.1 ارائه به شکل «همان‌گونه که هست»

تمامی خدمات به صورت «as-is» و «as-available» ارائه می‌شوند و شرکت هیچ ضمانت صریح یا ضمنی دربارهٔ دقت، کامل بودن یا مناسب بودن آن‌ها برای هدف خاصی ندارد.

11.2 عدم مسئولیت در قبال زیان‌ها

تا بیشترین حد مجاز قانون، شرکت هیچ‌گونه مسئولیتی در قبال زیان‌های مستقیم، غیرمستقیم، اتفاقی، تبعی یا خاص (شامل از دست‌رفتن سود) حتی در صورت اطلاع از امکان چنین زیان‌هایی، نخواهد داشت.

11.3 حداکثر مسئولیت

در هیچ شرایطی مسئولیت کل شرکت نسبت به شما از مجموع مبالغی که برای سرویس موضوع ادعا پرداخت کرده‌اید، بیشتر نخواهد بود.

12. جبران خسارت

12.1 تعهدات جبران خسارت مشتری

شما موافقت می‌کنید شرکت و وابستگان، کارکنان، نمایندگان و پیمانکاران آن را در برابر هرگونه ادعا، خسارت یا مسئولیت (از جمله حق‌الزحمهٔ وکیل معقول) که ناشی از موارد زیر باشد، مصون بدارید:

1. استفادهٔ نادرست شما از خدمات یا وب‌سایت،

2. نقض این توافق‌نامه توسط شما،

3. نقض هر قانون یا حقوق شخص ثالث،

4. ارائه هرگونه اطلاعات نادرست یا غیرواقعی توسط شما.

13. فورس ماژور

13.1 عدم مسئولیت بابت رویدادهای فورس ماژور

شرکت در صورت تأخیر یا عدم انجام وظایف ناشی از عوامل خارج از کنترل منطقی خود (از جمله بلایای طبیعی، قطعی اینترنت، مقررات دولتی یا حوادث غیرقابل پیش‌بینی دیگر) مسئولیتی نخواهد داشت.

14. حل اختلاف و قانون حاکم

14.1 قانون حاکم

این توافق‌نامه و هر اختلاف ناشی از آن تحت قوانین ایالت [نام ایالت] و بدون در نظر گرفتن مقررات تعارض قوانین تفسیر و اجرا می‌شود.

14.2 داوری

هرگونه اختلاف، دعوا یا ادعا که از این توافق‌نامه ناشی شود، از طریق داوری الزام‌آور توسط یک داور در [شهر/شهرستان، ایالت] و طبق مقررات انجمن داوری آمریکا (AAA) حل‌وفصل می‌گردد. طرفین حق محاکمه با هیئت منصفه را از خود سلب می‌کنند.

14.3 انصراف از دعوای گروهی

شما توافق می‌کنید هرگونه داوری یا رسیدگی صرفاً به شکل فردی انجام شود و نه گروهی یا نمایندگی. شما به‌صراحت از حق طرح دعوای گروهی یا مطالبه‌ی جبران خسارت گروهی صرف‌نظر می‌کنید.

14.4 هزینه‌های وکیل

در صورت هرگونه اختلاف یا داوری، طرف برنده حق مطالبهٔ حق‌الزحمهٔ وکیل و هزینه‌های متعارف را خواهد داشت.

15. خاتمه و تعلیق

15.1 مبنای خاتمه

شرکت می‌تواند دسترسی شما به خدمات را در شرایط زیر فوراً تعلیق یا خاتمه دهد:

1. عدم پرداخت مبالغ ضروری،

2. نقض هر بخشی از این توافق‌نامه،

3. فعالیت غیرقانونی یا کلاه‌برداری،

4. سوءاستفاده یا تلاش برای کپی‌کردن IP شرکت یا خدمات آن به‌منظور مزیت رقابتی.

15.2 بدون بازگشت وجه

اگر این توافق‌نامه به دلیل نقض یا تخلف شما خاتمه یابد، هیچ مبلغی مسترد نخواهد شد.

16. توافق کامل و اصلاحات

16.1 توافق کامل

این توافق‌نامه، به همراه هر فاکتور، پیشنهادنامه یا افزونه‌ای که به آن ارجاع می‌دهد، کل توافق میان شما و شرکت را تشکیل داده و تمام تفاهمات قبلی را لغو می‌کند.

16.2 اصلاحات

شرکت حق دارد در هر زمان با درج نسخهٔ اصلاح‌شده در وب‌سایت و اعلام آن (مثلاً از طریق ایمیل)، این توافق‌نامه را اصلاح کند. ادامهٔ استفاده شما از خدمات پس از این اصلاحات، به منزلهٔ پذیرش نسخهٔ اصلاح‌شده تلقی می‌گردد.

17. قابلیت تفکیک

17.1 بطلان جزئی

اگر هر بندی از این توافق‌نامه توسط دادگاه یا داور صالح نامعتبر یا غیرقابل اجرا تشخیص داده شود، سایر بندها همچنان به قوت خود باقی خواهند بود.

18. امضای الکترونیکی و رضایت

18.1 رضایت الزام‌آور

با کلیک بر روی «موافقم»، علامت زدن یک چک‌باکس، یا هر گونه موافقت الکترونیکی دیگر، شما تأیید می‌کنید که به مفاد این توافق‌نامه پایبند بوده و امضای الکترونیکی شما معادل امضای دستی است و از نظر حقوقی الزام‌آور خواهد بود.

19. مفاد حفاظتی اضافی

19.1 عدم جذب کارمندان/پیمانکاران

شما موافقت می‌کنید تا پایان همکاری و به مدت ۱۲ ماه پس از آن، هیچ کارمند یا پیمانکار شرکت را بدون دریافت رضایت کتبی شرکت به کار نگیرید و جذب ننمایید.

19.2 عدم دور زدن

شما متعهد می‌شوید هیچ جنبه‌ای از خدمات یا ساختار پرداخت ما، یا روابط با شرکای تجاری، فروشندگان یا همکارانی که از طریق ما معرفی شده‌اند، دور نزنید.

19.3 دوام

هر بند و شرطی که به‌صورت منطقی باید پس از پایان این توافق‌نامه همچنان معتبر بماند، از جمله بندهای مربوط به سلب مسئولیت‌ها، محدودیت مسئولیت، جبران خسارت و حقوق مالکیت فکری، پس از خاتمه یا انقضای این توافق‌نامه هم پا برجا خواهد بود.

19.4 اطلاعیه به رقبا — عدم تحمل سرقت IP و اقدام تلافی‌جویانه

• اجرای تهاجمی: ما بر تمامی استفاده‌های غیرمجاز، انتشار و اشتراک‌گذاری محتوای اختصاصی یا مواد بازاریابی‌مان نظارت می‌کنیم. اگر رقیبی یا نهاد وابسته به او در سرقت یا کپی محتوای ما، روش‌ها یا متدهای بازاریابی ما درگیر باشد، ما به‌سرعت اقدام حقوقی انجام خواهیم داد.

• راهکارهای حقوقی: این اقدام حقوقی می‌تواند شامل طرح دعوی در دادگاه ایالتی یا فدرال، مطالبهٔ خسارات مالی (جبرا‌نی و تنبیهی)، دستور قضایی و هزینه‌های وکیل باشد.

• شکایات نظارتی: ما همچنین حق شکایت به نهادهای نظارتی (FTC، CFPB و غیره) و گزارش به پردازشگرهای پرداخت یا میزبان‌های وب را داریم که می‌تواند منجر به تعلیق یا خاتمه سرویس طرف متخلف شود.

• افترا و تلافی: هر رقیب یا نهادی که تلاش کند شرکت را بدنام، آزار یا تلافی کند—شامل تاکتیک‌های سئوی منفی، نقدهای جعلی یا گزارش دروغین—با واکنش شدید حقوقی و نظارتی در حداکثر حد مجاز قانونی روبه‌رو خواهد شد.
